Governance is FlockWorker's heart. A worker-owned cooperative, ESOP, or non-profit board lives or dies by the legitimacy of its decisions — and legitimacy comes from a process every member can see, participate in, and trust. Whether you're a 12-person bakery deciding next quarter's menu or a 200-member ESOP ratifying a major bylaw amendment, the same workflow scales: propose, discuss, vote, decide, implement, and remember. Every primitive a democratic organization actually needs is built in: secret ballots, ranked choice for elections, proxy delegation, threaded comments that stay attached to the proposal, and a bylaw versioning system that treats your governing documents as living, amendable artifacts.

Draft from a reusable template, gather feedback in threaded comments, open the vote with a clear deadline, and close with a PDF-exportable record of who voted, when, and how. Status moves through draft → open → closed automatically as quorum and deadline conditions are met, and every transition is captured in the proposal’s audit history so there’s never a question of how a decision came to be.
Run direct, secret-ballot, ranked-choice, or single-choice votes on the same platform. Officer elections support multiple candidates, configurable terms, and ranked-choice tallies with automatic runoffs; community elections can be opened to non-members via shareable public links so neighbors, customers, or stakeholder groups can weigh in without an account.
Members assign their vote on a specific proposal — or all proposals during an absence — to a trusted colleague, with configurable per-proposal and global limits. Delegations automatically revoke the moment the delegator votes directly, and proxy votes are tagged in the tally so the audit trail stays clean.
Bulk-import an existing bylaws document on day one, then propose amendments through the normal proposal workflow. A side-by-side diff view shows exactly what changes, version history preserves every prior revision, and ratified amendments roll into a new published version with a timestamp and the originating proposal linked for citation.
Build structured agendas with timed items, assigned presenters, and linked proposals or attachments. When the meeting happens, convert the agenda directly into minutes — carry over attendees, decisions, and action items — and export the result as a PDF for the official record.
Organize standing and ad-hoc committees with chairs, members, and charters. Invite external committee members (auditors, legal counsel, advisors) via secure token-based portal access so they can review proposals and participate without a full member account.
Attach a structured response form to any proposal to gather written feedback alongside the yea/nay tally. Built on the Surveys module so the full form builder — every field type, conditional logic, and multi-page forms — is available without leaving Governance.
Once a proposal passes, track execution with milestones, an assigned owner, status updates, and a target completion date. The implementation tracker keeps decisions from going stale on a shelf and gives every member a single page that answers “what did we decide and what’s happening with it now?”
Vote on member compensation bands and officer pay structures, with the approved result flowing directly into Payroll's salary-band configuration so what was decided in the room is what gets paid.
Approve patronage dividend distributions with a Subchapter T qualified/non-qualified split. Approved amounts flow to Payroll for the pay run and to Accounting for the General Ledger entries automatically.
When termination requires a member vote, the closed proposal triggers HR's offboarding workflow and Payroll's guided final-paycheck workflow with state payday-on-discharge handling — the policy and the paperwork stay in lockstep.
